Vendor Terms and Conditions
Melbourne Sri Lankan Association Network (MSLA)
These Vendor Terms & Conditions (“Terms”) govern your participation as a vendor (“Vendor”, “you”, “your”) on the Melbourne Sri Lankan Association Network (MSLA) Marketplace (“Marketplace”, “we”, “us”, “our”). By registering as a Vendor, you agree to comply with these Terms and all applicable laws and regulations. If you do not agree, you must not register or sell on our Marketplace.
1. Vendor Eligibility
1.1. You must be at least 18 years old (or the age of majority in your jurisdiction).
1.2. You must provide accurate and complete registration information.
1.3. You must maintain an active PayPal, Stripe, or other Marketplace-approved payment method.
1.4. We reserve the right to approve, deny, or remove Vendor applications at our discretion.
2. Vendor Account
2.1. Each Vendor must maintain a secure account with a valid email address and password.
2.2. You are solely responsible for safeguarding your account details and for all activity under your account.
2.3. Misuse of your account, including unauthorized access or fraudulent activity, may result in suspension or termination.
3. Event Listings & Management
3.1. Vendors are allowed to list and manage events on the Marketplace. All types of events may be listed, including but not limited to:
- Cultural events,
- Music concerts,
- Workshops and seminars,
- Conferences,
- Charity fundraisers,
- Sporting events,
- Exhibitions,
- Festivals and other community or commercial events.
3.2. All events listed must comply with MSLA’s values and mission and should not defame, harm, or bring disrepute to the Melbourne Sri Lankan Association Network (MSLA) or its affiliates.
3.3. Events must respect the diverse cultural, religious, and social backgrounds of the MSLA community. Events promoting violence, hate speech, or discrimination will not be tolerated and will be removed immediately.
3.4. Event Descriptions:
- Vendors must provide accurate, complete, and clear descriptions for each event, including event dates, times, venue (if applicable), pricing, and any other relevant details.
- All event materials (e.g., images, videos, promotional content) should be appropriate, respectful, and not violate any intellectual property rights.
4. Pricing, Commission, and Discounts
4.1. Commission: The default commission on event ticket sales and event-related services will be 4% + $0.70 AUD per transaction, unless otherwise negotiated with MSLA.
4.2. Volume Discounts: For large-scale events or high-volume sales, vendors can contact MSLA directly to discuss potential volume-based discounts or custom pricing structures.
4.3. Payment Terms: Payments will be disbursed according to MSLA’s payment schedule.
4.4. Refund Policy: Refunds for events are to be handled directly by the Vendor, in accordance with the Marketplace’s refund and return policy. Escalations will be handled according to MSLA’s dispute resolution process (see section 6).
5. Use of MSLA Resources
5.1. In-House Resources: Vendors are granted access to certain MSLA-provided resources, such as pass creation tools, event ticket management apps, and other platform features related to event sales and ticketing.
5.2. Compliance with Standards: Vendors must use all MSLA resources in a manner that complies with industry standards and relevant legal requirements. Misuse of these resources for malicious purposes, such as fraud, data theft, or unauthorized access, is strictly prohibited.
5.3. Intellectual Property: Vendors must ensure that any content, including event branding, logos, images, or other materials, used in conjunction with MSLA resources does not infringe upon any third-party intellectual property rights.
5.4. Abuse of Resources: Any abuse of MSLA’s tools (e.g., attempting to create fraudulent tickets or using ticket management systems to exploit the platform) will result in the immediate suspension or termination of the Vendor’s account.
6. Refunds, Returns & Disputes
6.1. Refunds and Returns: Refunds for events are handled directly by the Vendor. The Vendor must ensure a clear refund policy is communicated to attendees.
6.2. Disputes: If a dispute arises, the Vendor must resolve the matter with the customer in a timely and professional manner.
6.3. Escalations: If a dispute is not resolved satisfactorily by the Vendor and customer, the Marketplace may intervene to mediate the situation. MSLA may halt Vendor operations temporarily until the dispute is resolved.
6.4. Escalation Process: If MSLA intervenes, both parties must cooperate with the mediation process. If no resolution is achieved, MSLA may choose to issue a refund to the customer and deduct the amount from the Vendor’s account.
7. Vendor Obligations
7.1. Vendors must maintain up-to-date event listings and availability.
7.2. Vendors must respond to customer inquiries and resolve issues promptly.
7.3. Vendors agree not to misrepresent themselves as employees or representatives of MSLA.
7.4. Vendors must comply with all applicable laws and standards, including those concerning consumer rights, e-commerce, and data protection.
8. Intellectual Property
8.1. Vendors must ensure that they have the right to use and distribute any content (including event descriptions, images, videos, logos, etc.) posted on the Marketplace.
8.2. Vendors grant MSLA a non-exclusive, royalty-free license to use their event details, images, and branding for promotional purposes across MSLA platforms, social media, and other marketing channels.
9. Prohibited Conduct
Vendors must not:
- List events that are defamatory, discriminatory, or harmful to the MSLA reputation.
- Attempt to bypass Marketplace fees or transact outside the platform.
- Misuse MSLA resources, including event ticket management or pass creation tools, for fraudulent or malicious purposes.
- Engage in any form of harassment or abuse toward customers or other Vendors.
- Use event descriptions, images, or content that violates intellectual property rights.
10. Marketplace Rights
10.1. MSLA reserves the right to monitor, review, and remove Vendor content, including event listings, at any time.
10.2. MSLA may suspend, limit, or terminate Vendor accounts for violations of these Terms.
10.3. MSLA may modify or discontinue features related to event management, ticketing, and other resources provided to Vendors without notice.
11. Limitation of Liability
11.1. MSLA is not responsible for the actual events, ticket sales, or interactions between Vendors and their customers.
11.2. MSLA shall not be held liable for any losses, damages, or disputes arising from the events listed by Vendors or the use of event-related resources.
12. Indemnification
Vendors agree to indemnify and hold harmless MSLA, its owners, staff, and affiliates against claims, damages, and liabilities arising from event listings, sales, or conduct.
13. Data Protection & Privacy
13.1. Vendors must protect customer data in compliance with applicable data protection laws.
13.2. Vendors must not misuse customer information for spamming or unauthorized marketing activities.
14. Termination
14.1. Vendors may close their account at any time by contacting MSLA.
14.2. MSLA reserves the right to terminate Vendor accounts without notice for violations of these Terms.
14.3. Upon termination, Vendors remain responsible for resolving outstanding orders, disputes, and payments.
15. Bank Transfer Withdrawal
15.1. Vendors may request to withdraw funds from their Marketplace account via bank transfer.
15.2. The Marketplace may charge a small fee for processing bank transfers, depending on the vendor’s location and transaction amount.
15.3. Withdrawals will be processed in accordance with MSLA’s payment schedule.
16. Amendments
MSLA reserves the right to update these Terms at any time. Vendors will be notified of significant changes, and continued use of the Marketplace constitutes acceptance of the updated Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia. Any disputes will be resolved exclusively in the courts of Victoria.
